Without this averment being made in the complaint the requirement of Section 34 of the Act cannot be said to be satisfied - No averment in the complaint that at the time the offence was committed , the petitioners were in-charge of and responsible for the conduct of the business of the company. Without this averment being made in the complaint the requirement of Section 34 of the Act cannot be said to be satisfied - in order to maintain parity, the criminal proceedings against the petitioners in this case should also be quashed.
